The Role

Reporting to the Company Secretary & Head of Governance, the newly created role of Senior Governance Officer will play a critical role in providing efficient and profession governance services to Management and the Board.

Working as part of an established and respected governance team, you will take the lead for ensuring the Company’s administrative, statutory and compliance obligations are met, and our governance processes are compliant and strive towards best practice.

In this role, you will have three core accountabilities.

Managing all Company administration, statutory requirements, and corporate governance compliance requirements. This includes:

  • Lodgement of forms and documents with ASIC and other relevant regulators
  • Issuing of Company Shares
  • Execution of company documents, maintenance of statutory records and registers
  • Board approved Fit and Proper policies and procedures
  • Appointments and resignations for Directors, Responsible Persons and Responsible Managers

Providing executive assistance and professional board administration support. This includes:

  • Working directly with the Company Secretary and Assistant Company Secretary, Management and Directors to ensure efficient and effective Board and Committee operations
  • Providing technology and office support for Directors, including diary management, travel and expenses as required

Supporting governance team operations. This includes:

  • Maintaining team process and procedure manuals to reflect compliant and best practices
  • Assisting with management of the team Risk Profile, Business Continuity Plan (BCP) and Compliance Plan
  • Championing continuous strengthening and improvement of the team’s Control environment and Event management practices

About You

The successful candidate will be a Governance professional, with previous experience in Statutory Compliance or Board Administration or Corporate Secretariat, ideally in the Financial Services industry.

You already have a strong understanding of the fundamentals and importance of corporate governance, including the role of the Board, and know the key legal and regulatory obligations, including prudential standards, that the Company must comply with.

Your balanced set of skills includes critical and analytical thinking, positive interpersonal and influencing skills, and a proven ability to prioritise and manage competing demands.
